Lovox Terms of Service (Public Offer Agreement)

Version of September 15, 2026.

This English text is a translation provided for convenience. Only the Russian version is legally binding. If the two versions differ, the Russian version prevails.

NitSoft RUS LLC (ООО «НитСофт РУС») offers to enter into an agreement for access to Lovox on the terms below (a public offer). The agreement is intended for organizations, individual entrepreneurs and adult individuals with full legal capacity. If you use Lovox for personal needs not related to business, your rights are additionally protected by consumer protection law.

1. What Lovox provides

Lovox is a cloud service for working with tasks, projects, documents, meetings and reports. The service provider (the “Provider”) is NitSoft RUS LLC; the “Customer” is the person who has accepted this offer; a “User” is a person with an account. A workspace brings together the Customer’s materials and members. The service is available at https://lovox.ru and through the Lovox apps.

The Provider gives remote access to the features of the selected plan and provides technical support for the service. The Customer receives a non-exclusive right to use the Lovox interface and official apps for their intended purpose while the agreement is in effect. Transfer of source code or exclusive rights and installation of the server side on the Customer’s premises are not part of this agreement. The fee for use under this agreement is included in the plan price.

The features, limits and available billing periods are listed on the pricing page and when you place an order. Promises about future features are not part of the paid service until they become available or are agreed by the parties in writing.

2. How the agreement is concluded

The offer is accepted by completing registration after reviewing its terms or by paying for an order that contains a link to this offer. The agreement is concluded in electronic form. Simply visiting the website is not acceptance. Signing in to an existing account does not by itself mean accepting a new version of the agreement or consenting to the processing of personal data.

A representative of an organization or individual entrepreneur confirms that they have the authority to conclude the agreement and order paid services. Inviting an employee to a workspace does not by itself give them the right to conclude the agreement on behalf of the employer. The workspace owner manages the subscription and invitations within the limits of their authority.

Actions taken after sign-in is confirmed with a code, a passkey or a connected identity provider make it possible to identify the User. The parties recognize such actions and messages sent from confirmed email addresses as electronic documents signed with a simple electronic signature, except where the law requires a different form. The User must keep their sign-in credentials secret and report any loss of access. Whether a specific action is authentic and who performed it may be disputed and verified using the service logs.

The Personal Data Processing Policy explains how data is handled. Reading it does not replace consent. Where processing is based on consent, that consent is given separately from this offer.

3. Account and workspace

  • The User provides a valid email address and keeps their contact details up to date.
  • The Customer assigns members and their permissions and checks invitation recipients, public links and the access granted to connected integrations.
  • The Customer uploads only materials that it has legal grounds to use and process. This also applies to data about employees, clients and meeting participants.
  • Illegal content, malware, spam, attempts to bypass access restrictions and actions that disrupt the service or violate the rights of others are prohibited.
  • The service is not intended for state secrets, special categories of personal data or biometric identification. Such data must not be uploaded without a separate agreement and the conditions required by law.

A public link can open material to people outside the team. Access settings do not replace consent to the dissemination of personal data where the law requires it. The Customer checks the content on its own before publishing.

4. Plans and payment

Free and paid features depend on the selected plan. Before paying, the Customer sees the plan, the number of paid members, the period and the total amount in rubles. A payment applies to the workspace specified in the order. A change of plan or number of seats that requires an additional payment is made through a separate order with a price calculation.

You can pay by any method available in the interface, including by bank card through the payment partner TBank JSC (АО «ТБанк»). For organizations and individual entrepreneurs, the terms of payment by invoice and the bank details are given in the invoice itself. Taxes are applied under the applicable law and shown in payment and closing documents. A receipt is sent in the cases and in the manner provided by the law on the use of cash register equipment.

Paid access starts once the payment is confirmed, unless the order states a different time. The subscription fee is charged for access during the paid period; the number of actual sign-ins does not change the price. This does not limit the right to withdraw from the agreement and get a refund under Section 6. Not using the service and turning off auto-renewal are different actions.

A paid period is served at the agreed price. A new price applies to the next order or renewal after notice and agreement on the charging terms. If the Customer does not agree, it may decline the renewal without penalty.

5. Auto-renewal and stopping charges

Automatic payments are allowed only if the Customer separately confirms the auto-renewal terms in the payment interface. These terms must state the amount or how it is calculated, the frequency and how to turn auto-renewal off. Accepting this offer does not by itself allow charging any card used before.

The Customer can turn off auto-renewal in the subscription settings or send a refusal to hello@lovox.ru. It is enough to state the account and the workspace in the email; you do not need to send the full card number or its security code. In the same way, you can prohibit the use of previously saved payment details for recurring payments.

Once the refusal is received, no new automatic charges are made under the relevant subscription or the specified payment details. Turning off auto-renewal keeps access until the end of the paid period. If a payment has already gone through, you can request termination of the agreement and a refund. Before each recurring payment, the Provider sends a notice with the payment amount and how to opt out at least three days in advance, or within a longer period if the law requires one.

A failed charge does not create an obligation to use a new paid period. After paid access ends, the limits of the free plan apply if it is available; otherwise, paid features are suspended. Data retention rules are set out in Section 11.

6. Withdrawal from the agreement and refunds

The Customer may withdraw from further paid service at any time by writing to hello@lovox.ru. State the workspace, the date or ID of the payment and what you want: to turn off renewal, or to end paid access with a refund. If no termination date is given, the date the request is received is used.

On early termination, the fee for the remaining calendar days of the paid period is refunded in proportion to its length. No fee or penalty is charged for withdrawal. For consumers, Article 32 of the Russian Federation Law “On Protection of Consumer Rights” (Закон РФ «О защите прав потребителей») and other mandatory rules apply in any case: deductions are possible only in the amount permitted by law, and actual expenses related to performing the agreement must be documented. The same expenses cannot be counted twice.

The Provider reviews the request and issues the refund due no later than 10 calendar days after receiving the request and the information needed to find the payment. If the law sets a shorter period, that period applies. Money is returned to the payer by the same method or, if that is not possible, to bank details agreed with the payer. The time it takes for the funds to arrive also depends on the bank. Erroneous and duplicate charges are checked and refunded.

If the service has defects, the Customer keeps the rights provided by law, including the right to demand that the defects be fixed, that the price be reduced, to withdraw from the agreement and to be compensated for losses. These rights do not depend on reaching any conventional threshold of service unavailability.

7. Materials and rights to them

Exclusive rights to Lovox, its program code and its design belong to the Provider or are used by it lawfully. The Customer retains the rights to its materials. It allows the Provider to store, technically process, copy for backup and transfer materials to recipients chosen by the Customer only to the extent needed for the service features to work and to perform the agreement. This permission does not give the right to sell the materials, publish them in advertising or use the Customer’s name as a reference without separate permission.

The Customer may not copy or distribute the program code and apps beyond the rights granted, remove information about the right holder or present Lovox as its own product. These restrictions do not affect actions expressly permitted by law. You can report an infringement of rights to material at hello@lovox.ru, stating the material, the basis of your rights and a contact for the reply.

8. AI, meetings and integrations

When you use AI features, the request and the context it needs are sent to DeepSeek. For transcription, audio is sent to Deepgram. Requests, documents and recordings may contain personal data and confidential information; automatic removal of such information from any material is not guaranteed. The recipients and the details of the transfer are listed in the policy.

Before recording and transferring materials, the Customer ensures the necessary legal grounds, notifies meeting participants and obtains consent where it is required. One participant pressing the record button does not replace the will of the others. The User checks AI answers and transcripts: they may contain errors and do not replace professional advice or a decision by a responsible employee.

When connecting an integration, the Customer chooses the scope of access and is responsible for the permissions of the connected app. A third-party service is also governed by its own terms. Actions through the API, webhooks and AI agents are limited by the permissions granted; access tokens must be kept secret and revoked when the integration is no longer needed.

9. Instruction to process the Customer’s data

For personal data that the Customer places in the workspace as an operator (the person who determines the purposes of processing), this section is the Customer’s instruction to the Provider to process that data (поручение на обработку) under Part 3 of Article 6 of Federal Law No. 152-FZ “On Personal Data” (Федеральный закон № 152-ФЗ «О персональных данных»). The purpose of the instruction is to provide the Customer with storage of and collaboration on materials, task management, search, notifications, export and the selected AI and transcription features. The Provider does not set its own purposes for using these materials.

Data subjects: the Customer’s workspace members, employees, counterparty representatives, clients and meeting participants. Permitted data: name, work contacts, job title, organization, information about assignments, deadlines and time spent, correspondence, documents and attachments, and images and voices in meeting recordings. This instruction does not cover processing of special categories of data or use of biometrics to identify a person.

Permitted operations: collection at the Customer’s command, recording, systematization, accumulation, storage, updating, retrieval, use, provision of access to designated recipients, transfer to engaged processors for the listed features, blocking, deletion and destruction. Methods: automated processing and the necessary actions of authorized employees while supporting the service and handling requests.

  • The Customer determines the legal basis for processing, the necessary scope of data and the retention periods, informs data subjects and obtains consent where it is required.
  • The Provider keeps the data confidential, limits access to authorized persons, complies with Part 5 of Article 18, Article 18.1 and Article 19 of Law No. 152-FZ and ensures the necessary protection measures.
  • At the Customer’s request, the Provider provides documents and information confirming that it complies with the instruction and the protection measures, both before processing starts and while it continues.
  • The Provider helps fulfill lawful requests from data subjects and update, block or destroy data; it forwards information about a request concerning the Customer’s data to the Customer, unless the law provides otherwise.
  • In the event of an incident referred to in Part 3.1 of Article 21 of Law No. 152-FZ, the Provider notifies the Customer without undue delay, no later than 12 hours after discovering it, and passes on the available information for notifying the competent authority. It sends the results of the investigation as they become available.

The Customer allows the Provider to engage processors from the list in the policy to the extent of the relevant features, subject to the requirements of the law. The Provider puts in place obligations with them on confidentiality, protection and processing of data and remains responsible to the Customer for carrying out the instruction. Before engaging a new processor that receives the Customer’s materials, the Provider notifies the Customer and provides information about the purposes and scope of the transfer. If the Customer raises a reasonable objection, the related new processing does not start until the objection is resolved.

Cross-border transfer is allowed only after the applicable requirements of Article 12 of Law No. 152-FZ are met and taking into account decisions of Roskomnadzor (the Russian data protection authority). The terms of the agreement and a User’s command do not override these requirements. The instruction remains in effect until the agreement has been performed and lawful storage has ended; after that, the data is returned through the available export tools or destroyed, unless the law requires it to be kept. The liability of the operator and of the person processing data on its instruction is determined by law.

10. Support and access restrictions

Questions about how the service works can be sent to hello@lovox.ru. The Provider takes measures to fix faults and informs about significant changes in how the service works. Planned maintenance is announced in advance where possible. A specific availability target and special response times apply only under a separate agreement of the parties; this clause does not release the Provider from liability for the quality of paid services.

Access may be restricted if the agreement is breached, if there is a security threat, if the paid period has expired or at the lawful demand of a competent authority. The Provider states the reason and how to remedy the breach, except where notice is prohibited by law or creates a security threat. The restriction must be proportionate to its grounds; once the grounds are removed, access is restored. Blocking does not cancel the right to challenge it and to claim a refund.

11. End of access and deletion

Before deleting a workspace or an account, the Customer saves the materials it needs. What the automatic export includes depends on the available features: exporting tasks does not mean exporting all documents, files and meeting recordings. If the needed method is not available in the interface, the Customer can ask support for an available way to get its data. Materials that a User has already permanently deleted may be impossible to restore.

Deleting an account is not the same as deleting all the workspaces the person was a member of. The owner first transfers ownership or deletes their workspace. Shared materials may remain with other members and be processed on the instruction of the relevant Customer if there is a legal basis for this. Lawful requests to delete personal data are considered separately under the policy.

Once the purpose of processing has been achieved, the data is deleted within the periods set by law, except for information that has its own legal basis for retention. Turning off a subscription, blocking an account and withdrawing consent do not by themselves confirm that the data has been fully destroyed. No guaranteed recovery period after deletion is provided.

12. Liability and disputes

The parties are liable for breach of obligations under the laws of the Russian Federation. Failures on the side of a subcontractor or the payment partner do not by themselves release the Provider from its obligations to the Customer. In case of force majeure, the grounds for release from liability set by law apply; the affected party notifies the other party and takes measures to reduce the consequences.

A claim can be sent by email or to the Provider’s postal address. A consumer retains the right to go to a court of their choice in the cases provided by law; this agreement does not introduce a mandatory pre-trial claim procedure for consumers. Disputes with organizations and individual entrepreneurs are considered in compliance with the procedure and jurisdiction established by law. The terms of this offer do not limit mandatory guarantees, compensation for losses, penalties or other consumer rights.

13. Changes and notices

The Provider publishes each version of the offer with its date and notifies existing Customers of significant changes at least 14 calendar days in advance, unless the law requires otherwise. A new version applies to new agreements from the date stated. For an existing agreement, changes are agreed with the Customer in the form required by law; they do not retroactively recalculate a period that has already been paid for. Silence and ordinary sign-in to the account do not replace separate consent where it is required.

Legally significant messages are sent to the account’s confirmed email address or to an address agreed by the parties. The Customer can save the text of the offer and the order details. A separately signed agreement takes precedence on the matters it expressly covers, to the extent permitted by law.
